Orders, pricing, and payment

• Quotes are estimates until designs, quantities, and timelines are confirmed in writing.

• Production begins after approvals and required deposits are received; remaining balances are due on the agreed schedule.

• Shipping timelines are estimates and may be affected by carrier delays or customs processes.

• Taxes, duties, and fees are your responsibility unless explicitly included in your quote.

User accounts and content

• You are responsible for maintaining the confidentiality of account credentials and for all activity under your account.

• You represent that you have rights to any logos, artwork, or materials provided to us for production.

• We may refuse or cancel work that appears unlawful, infringes intellectual property, or violates these terms.

Intellectual property

All site content, trademarks, and materials created by Merchwell remain our property or that of our licensors. Providing assets for production does not grant ownership over our tools, templates, or processes.

Prohibited uses

• Reverse engineering, scraping, or interfering with site functionality.

• Uploading malicious code, attempting unauthorized access, or disrupting service integrity.

• Using the services for unlawful, fraudulent, or deceptive purposes.

Warranties and disclaimers

We aim for reliable service but provide it on an "as is" basis. Except as required by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. Any samples or mockups are illustrative and may vary slightly from final production within industry tolerances.

Limitation of liability

To the fullest extent permitted by law, our total liability for any claim arising out of these terms or the services is limited to the amounts you paid to us for the order at issue. We are not liable for indirect, incidental, or consequential damages, loss of profits, or business interruption.

Indemnification

You agree to indemnify and hold harmless Merchwell, its affiliates, and employees from claims arising out of your misuse of the services, breach of these terms, or infringement of third-party rights related to materials you provide.

Changes to these terms

We may update these terms to reflect operational, legal, or regulatory requirements. Material changes will be posted with an updated date. Continued use of the services after changes become effective constitutes acceptance.
